1. Introduction & Acceptance
Welcome to Goluwa India Private Limited. These Terms of Service ("Terms") govern your use of our website and services related to the export of plastic machinery, industrial equipment, spare parts, and engineering items from India.
By accessing our website, submitting inquiries, or placing orders, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Important: These Terms constitute a legally binding agreement between you ("Buyer," "Customer," or "you") and Goluwa India Private Limited ("Seller," "we," "us," or "our") for the purchase and export of industrial machinery and equipment.
2. Products & Services
We provide the following products and services:
2.1 Products
- Plastic Blow Moulding Machines: Single-station, double-station, accumulator head machines (1L - 200L capacity)
- Plastic Injection Moulding Machines: Servo-hydraulic machines (80T - 1200T clamping force)
- Printing & Packaging Machines: Flexographic printing, label printing, rotogravure printing, laminating machines
- Spare Parts: Extruder screws, barrels, die heads, PLC controllers, hydraulic components, electrical parts
- Engineering Items: Precision machined components, custom fabricated parts, industrial electronics
2.2 Services
- Factory sourcing and manufacturer verification
- Quality inspection and pre-shipment inspection (PSI)
- Export documentation and customs clearance support
- Logistics coordination and shipping (FOB, CIF, Door-to-Door)
- Installation guidance and technical support
- Spare parts procurement and supply
3. Quotations & Orders
3.1 Quotations
- Quotations are valid for 30 days from the date of issue unless otherwise specified
- Prices are subject to change based on raw material costs, exchange rates, and manufacturer pricing
- Quotations are based on the specifications provided by the buyer; any changes may affect pricing
- All prices are quoted in USD unless otherwise agreed in writing
3.2 Order Confirmation
- Orders are confirmed upon receipt of the advance payment and signed Proforma Invoice (PI)
- The buyer must review all specifications, terms, and conditions before confirming the order
- Any modifications to the order after confirmation may result in additional charges and delivery delays
3.3 Minimum Order Requirements
- Machinery: No minimum order quantity; single unit orders accepted
- Spare Parts: Minimum order value of USD 500 for general spare parts
- Engineering Items: Minimum order value may apply based on manufacturing complexity
4. Payment Terms
4.1 Standard Payment Terms
- Advance Payment: 30% of total order value upon order confirmation
- Balance Payment: 70% before shipment (after pre-shipment inspection approval)
- Spare Parts Orders: 100% advance payment for orders below USD 2,000
4.2 Payment Methods
- Telegraphic Transfer (T/T): Direct bank wire transfer to our designated account
- Letter of Credit (L/C): Irrevocable L/C at sight from a confirmed bank
- Cash Against Documents (CAD): Available for established clients with good payment history
4.3 Currency & Bank Charges
- All payments must be made in USD or as agreed in the Proforma Invoice
- Bank charges on the buyer's side are the buyer's responsibility
- Bank charges on the seller's side are the seller's responsibility
- Any shortfall due to exchange rate fluctuations must be covered by the buyer
5. Delivery & Shipping
5.1 Incoterms
We offer the following shipping terms (Incoterms 2020):
- FOB (Free on Board): Risk transfers to buyer once goods are loaded on the vessel at Indian port
- CIF (Cost, Insurance, Freight): We arrange shipping and insurance to the destination port
- CFR (Cost and Freight): We arrange shipping; buyer arranges insurance
- Door-to-Door (DDP): Complete delivery to buyer's premises (available on request)
5.2 Lead Times
- Plastic Blow Moulding Machines: 6-8 weeks from order confirmation
- Plastic Injection Moulding Machines: 8-10 weeks from order confirmation
- Printing Machines: 10-12 weeks from order confirmation
- Spare Parts (Stock Items): 1-2 weeks
- Spare Parts (Made-to-Order): 3-6 weeks
- Engineering Items: 2-8 weeks depending on complexity
5.3 Shipping & Documentation
We provide complete export documentation including:
- Commercial Invoice and Packing List
- Bill of Lading / Airway Bill
- Certificate of Origin (CoO)
- Insurance Certificate (for CIF shipments)
- Quality Inspection Reports
- Machine Operation Manuals and Electrical Diagrams
6. Quality Assurance & Inspection
6.1 Quality Standards
- All machinery is manufactured by ISO 9001:2015 certified factories
- CE certification is available for machines exported to European markets
- All machines undergo factory testing before dispatch
6.2 Pre-Shipment Inspection (PSI)
- Buyer may request third-party inspection at their cost
- We provide photo/video documentation of machines before shipping
- Any defects or discrepancies must be reported before shipment
- Approval of PSI report constitutes acceptance of goods for shipment
6.3 Acceptance of Goods
Goods are considered accepted when:
- The buyer approves the pre-shipment inspection report, OR
- The buyer does not raise objections within 3 business days of receiving PSI documentation, OR
- The goods are shipped after balance payment is received
7. Warranty
7.1 Machinery Warranty
- Warranty Period: 12 months from the date of shipment (Bill of Lading date)
- Coverage: Manufacturing defects in materials and workmanship
- Exclusions: Wear parts, consumables, electrical components, damage due to misuse, improper installation, or unauthorized modifications
7.2 Spare Parts Warranty
- Spare parts carry a 6-month warranty against manufacturing defects
- Warranty does not cover normal wear and tear or improper installation
7.3 Warranty Claims
- Claims must be submitted in writing with photos/videos within the warranty period
- Defective parts must be returned for inspection (shipping at buyer's cost)
- Approved claims will be resolved by repair, replacement, or credit at our discretion
- Labor costs for replacement are the buyer's responsibility
8. Limitation of Liability
- Our maximum liability is limited to the value of the defective goods or parts
- We are not liable for indirect, incidental, consequential, or special damages
- We are not liable for production losses, lost profits, or business interruption
- We are not responsible for delays caused by force majeure events (see Section 10)
- The buyer is responsible for ensuring the machinery meets local regulations and standards in their country
9. Cancellation & Refunds
9.1 Order Cancellation
- Before Production: Orders may be cancelled with a 10% cancellation fee
- During Production: Orders cannot be cancelled; buyer must accept delivery
- Custom/Made-to-Order Items: Non-cancellable once production begins
9.2 Refunds
- Refunds (minus applicable fees) will be processed within 30 business days
- Bank charges for refund transfers are deducted from the refund amount
- No refunds for custom-manufactured items or spare parts made to order
10. Force Majeure
We are not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, pandemics)
- War, terrorism, civil unrest, or government actions
- Strikes, labor disputes, or factory shutdowns
- Shipping delays, port congestion, or container shortages
- Raw material shortages or supplier failures
- Changes in export/import regulations or sanctions
In case of force majeure, delivery timelines will be extended accordingly, and we will communicate promptly with affected buyers.
11. Intellectual Property
- All content on our website (text, images, logos, designs) is our intellectual property
- Technical drawings and specifications shared for quotation purposes remain confidential
- Buyers may not reproduce, distribute, or use our content without written permission
- Machine designs and technology remain the property of the respective manufacturers
12. Governing Law & Disputes
- These Terms are governed by the laws of India
- Any disputes shall first be resolved through good-faith negotiations
- If negotiations fail, disputes shall be settled by arbitration in Mumbai, India
- The language of arbitration shall be English
- The decision of the arbitrator shall be final and binding on both parties
13. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
For specific orders, the terms stated in the Proforma Invoice and Sales Contract shall take precedence over these general Terms of Service.
